GENERAL COMMERCIAL CONDITIONS OF MBM TECHNOLOGY® / e-PROTOTYPY®

MBM Technology s.c., being the owner of trademark e-Prototypy® – Poland’s First Comprehensive Prototyping Centre – and conducting business activity in Poland, Wroclaw, with production plant situated in the Wroclaw Technology Park S.A. declares, that it is a professional in the scope of design and production activities it conducts.
MBM Technology s.c. has an implemented and certified Quality Management System ISO 9001:2008 in the scope of: “Designing Products of Plastic and Metal, Production and Sales of Plastic and Metal Products” – MBM Technology s.c. conducts in accordance with the established quality policy, willing to pursue the assumed mission of the enterprise.
MBM Technology s.c. declares that it spares no efforts to meet requirements specified by the Contractors.
From time to time, when completing orders, it is guided by the best will and technical knowledge. Employees of MBM Technology s.c. are high-class specialists in the areas of their competence. The applied machinery park is modern, and the technological process is continuously controlled and supervised.
MBM Technology s.c. delivers its services and products, unless the trade offer specifies otherwise, in accordance with the following General Commercial Conditions of MBM Technology s.c.:

  1. A request for quotation submitted by the Customer is subject to a diligent analysis, the result of which is presentation of a trade offer, binding throughout its validity.
  2. Acceptance of the presented trade offer means acceptance of all conditions specified therein, particularly production technology, quantity, price, completion date, terms of delivery, terms of payment, etc. It also means acceptance of the General Commercial Conditions of MBM Technology s.c.
  3. The Contractor’s acceptance of the presented trade offer is made by submitting an Order conforming with the presented offer. An order can be submitted as oral instruction, or in writing. An order is registered in the IT system and sent to completion.
  4. An order submitted by a Contractor, the content of which contains entries introduced unilaterally by the Contractor and different from provisions of the original trade offer, shall not be binding for MBM Technology s.c. and shall not be completed.
  5. Orders accepted for completion shall be completed in accordance with the original trade offer.
  6. Products made by MBM Technology s.c. using individual production technologies, have proper, typical of these technologies, shape and dimensional accuracy, as well as surface condition. Information about the scope of applying individual technologies, precision of shape, size, surface condition are available at www.e-prototypy.pl and at website of manufacturers of prototype devices used by MBM Technology s.c.
  7. Choice of production technology is made by the Contractor, in consciousness of its scope of application, accuracy of reproducing sizes and shapes, surface condition. Imperfections of shape, size, surface condition, typical of individual prototyping technologies, shall not constitute grounds for a complaint.
  8. Some prototyping technologies, due to their inherent limitations, cannot reproduce details (elements smaller than 0.6mm) of the digital model. Lack of such reproduction is typical of prototyping technologies and does not constitute grounds for a complaint.
  9. Materials used to make prototypical details are specialist materials, which have their characteristic physical-chemical as well as strength priorities. Technical data sheets for the materials are available at websites of prototype machines; manufacturers, or, by request, they will be made available by MBM Technology s.c. The Contractor shall be liable for selection of material/technology.
  10. For technological reasons, details made using prototyping technologies can be made as a whole or in parts, which are then joined using connection technology provided for the given prototyping technology. Unless the trade offer specifies otherwise, the fact of making a joined model does not constitute grounds for a complaint.
  11. Additional services including lacquering (covering the models with varnish coats) are performed free of charge, at express request of the customer. These works are not included in the trade offer of MBM Technology s.c., they are merely gratuitous, non-mandatory additional service, therefore the resulting visual and aesthetic effect of varnished surfaces shall not be subject to assessment and cannot constitute grounds for a complaint.
  12. Details on which lacquer coats are applied are made in accordance with the technology of lacquering prototypical models. Colours specified by the Contractor as per RAL or PANTONE scale are selected from the pallet of modelling lacquers available to MBM Technology s.c. and made in shade similar to the specified standard colour RAL or PANTONE. Possible colouristic differences between the standard colour RAL or PANTONE and the physical model result from the aforementioned limitations and shall not constitute grounds for a complaint.
  13. Unless the offer specifies otherwise, the scope of designing works includes completion of digital 3D models in accordance with requirements submitted by the Contractor in writing. Upon completion, a digital 3D model is handed over to the Contractor in order to approve the same. If the Contractor approves the 3D model /in writing or orally/ – the designing works are deemed completed and the order is deemed fully completed, which authorizes MBM Technology s.c. to issue a service sale invoice. Additional designing works after the Contractor’s approval of the 3D model shall be carried out upon agreeing on their scope and costs by means of a separate offer and separate order for designing works. If the Contractor does not approve the 3D model he is presented, he is obliged to make a written list of comments within 3 days from the date of handing the model over. These remarks will then be, with no additional costs, provided for in the design. Providing for all the Contractor’s remarks in the design and applying them to the 3D model make the designing works deemed completed and the order is deemed fully completed, which authorizes MBM Technology s.c. to issue a service sale invoice. Potential subsequent remarks of the Contractor, no specified in the original written list of remarks, can be completed after agreeing on their cost and scope by means of a separate offer and separate order for designing works. Nonetheless, this fact has no influence on the Contractor’s payment obligations in favour of MBM Technology s.c.
  14. Digital models 3D CAD sent for printing are not modified by MBM Technology s.c. MBM Technology s.c. shall not be liable for errors in construction of the CAD model sent for printing, which could influence durability or strength of the model.
  15. Before signing the shipment receipt, the Contractor is obliged to open the parcel in the courier’s presence and check condition of received goods. Signing a shipment receipt without checking its content releases MBM Technology s.c. from responsibility for the condition of delivered goods.
  16. All complaints regarding qualitative and quantitative remarks are to be submitted in writing. Lack of a written complaint submitted at the moment of receiving the shipment or not later than within 24 hours from receiving the shipment shall be considered to be acceptance of the models with no reservations and therefore full completion of the order.
  17. The Contractor undertakes to make payments for the services of MBM Technology s.c. promptly, in accordance with terms specified in the trade offer, on the basis of issued VAT invoices.
  18. Delay in payment authorizes MBM Technology s.c. to calculate statutory interest on the resulting payment arrears and to issue interest notes.
  19. MBM Technology s.c. cooperates with the National Register of Debtors (KRD) S.A. Payers who fail to settle obligations towards MBM Technology s.c. on time shall be reported to the debtors’ base of KRD S.A., and their obligations shall be transferred to a debt collection agency.
